So, you want to serve on a public board? Boards get involved in many topics. What is the role of corporate boards and legal issues? Join Ellen Richstone as she talks with Emily Taylor about the situations that surface, and the role of board members play in addressing a company's legal issues.

Emily Taylor
is a partner at Latham & Watkins LLP, where she advises emerging companies, particularly in the life sciences, technology, and retail industries, as they structure and form new businesses and on complex business transactions. She also provides practical advice on day-to-day corporate matters throughout a company’s lifecycle.  Emily regularly handles a full range of corporate transactions, including debt and equity financings; mergers and acquisitions; IPOs; and commercial collaborations.  She draws on extensive experience with founding and growing companies and brings a practical approach to advising clients and helping companies achieve their strategic goals.  Emily is a frequent speaker at industry events held by organizations such as the Boston Bar Association and the Silicon Valley Directors’ Exchange. She has served on several industry committees, including as co-chair of the Venture Capital and Emerging Companies Committee of the Boston Bar Association and as a vice chair of City Year’s Legal Community Breakfast. She currently serves as co-chair of Latham’s Women Enriching Business (WEB) Committee in Boston. Emily is passionate about mentoring entrepreneurs and small businesses pro bono, including through her work with the Lawyers’ Committee for Civil Rights. She hosts business law seminars throughout the year and speaks at the group’s annual BizGrow Conference.

Ellen Richstone
has been a Public Company Board Director since 2003 on companies ranging in size from microcap up to Fortune 500. She is currently on three public company boards: Superior Industries (Industrial/Automotive); Orion Energy Systems (Clean Tech/Lighting); and eMagin (Technology). She is a former CEO of a private services company and a former CFO and Treasurer of Fortune 500 companies. Her operating experience is focused in Technology while her public board experience includes: BioTech, Consumer Products, Pharma, Industrial, Technology, Aerospace and Automotive. Ellen was given the first annual distinguished director award from American College of Corporate Directors and in January 2018 was named an NACD Board Leadership Fellow, the highest award given by the NACD for Corporate Governance, in addition to sitting on the Board of NACD New England.
